1. Agreement to Terms

You agree not to use our website or services to:

4. Service Terms

4.1 Project Scope and Deliverables

All projects will be governed by a separate agreement outlining scope, deliverables, timelines, and payment terms. The project agreement will take precedence over these general terms for specific project details.

4.2 Payment Terms

Payment terms will be specified in individual project agreements. Generally:

  • A deposit may be required before work commences
  • Final payment is due upon project completion or as specified in the agreement
  • Late payments may incur additional charges
  • We reserve the right to suspend services for non-payment

4.3 Revisions and Changes

The number of revisions included in a project will be specified in the project agreement. Additional revisions beyond the agreed scope may incur extra charges.

5. Intellectual Property Rights

5.1 Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. By providing content, you grant us a license to use it for the purpose of delivering our services.

5.2 Deliverables

Upon full payment, you will receive ownership rights to the deliverables as specified in the project agreement. We retain the right to use completed projects in our portfolio unless otherwise agreed.

5.3 Our Property

All proprietary tools, methodologies, templates, and pre-existing materials used in delivering services remain our intellectual property.

6. Confidentiality

We respect the confidentiality of your business information. Any confidential information shared during our engagement will be protected and not disclosed to third parties, except as necessary to deliver services or as required by law.

7. Warranties and Disclaimers

7.1 Service Warranties

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards. However, we do not guarantee specific results or outcomes from our services.

7.2 Website Disclaimer

Our website and information provided are on an "as is" basis. We make no warranties regarding the accuracy, completeness, or reliability of website content.

8. Limitation of Liability

To the maximum extent permitted by law, AsapLoads Technologies shall not be liable for:

Either party may terminate a project agreement as specified in the individual agreement. Termination does not relieve either party of obligations incurred prior to termination.

We reserve the right to suspend or terminate your access to our services for violation of these terms or non-payment.

10. Third-Party Services

Our services may integrate with or rely on third-party services and platforms. We are not responsible for the availability, functionality, or policies of third-party services. Your use of third-party services is subject to their respective terms and conditions.

11. Indemnification

You agree to indemnify and hold AsapLoads Technologies harmless from any claims, damages, or expenses arising from your use of our services, violation of these terms, or infringement of third-party rights.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Kenya. Any disputes arising from these terms or our services shall be resolved through:

  • Good faith negotiations between the parties
  • Mediation, if negotiations fail
  • Arbitration or courts in Nairobi, Kenya, as a last resort

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of significant changes by posting the updated terms on our website. Continued use of our services after changes constitutes acceptance of the new terms.

14. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
